Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and SnapPhonics LLC ("SnapPhonics," "we," "us," or "our") governing your access to and use of the SnapPhonics application and website (collectively, the "Service"). By creating an account or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 13 years old to use the Service. If you are between 13 and 18 years old, you represent that you have your parent's or legal guardian's permission to use the Service. If you are a teacher or school administrator creating accounts on behalf of students under 13, you represent that you have obtained all required parental or institutional consents in compliance with applicable law, including COPPA and FERPA.

3. Accounts

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at hello@snapphonics.com of any unauthorized use of your account.

We reserve the right to terminate or suspend accounts that violate these Terms, at our sole discretion, with or without notice.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Upload or transmit content that is harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
• Attempt to gain unauthorized access to any part of the Service or its underlying systems.
• Scrape, crawl, or use automated tools to extract data from the Service without our express written consent.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Use the Service to transmit spam or unsolicited communications.

5. User Content

"User Content" means any text, documents, data, or other materials you upload or create within the Service. You retain ownership of your User Content. By uploading User Content, you grant SnapPhonics a limited, non-exclusive, royalty-free license to store, process, and display your User Content solely for the purpose of providing the Service to you.

You represent and warrant that you have all necessary rights to the User Content you upload and that your User Content does not violate the rights of any third party.

6. Classroom and Academy Features

Teachers may create classrooms and enroll students. Students enrolled in a teacher's classroom acknowledge that their teacher may view documents they create within that classroom. Academy administrators may view documents created by teachers and students within their academy. These access relationships are described further in our Privacy Policy.

7. Intellectual Property

The Service, including its design, software, text, and graphics (excluding User Content), is owned by SnapPhonics LLC and is protected by copyright, trademark, and other applicable laws. You may not copy, reproduce, distribute, or create derivative works from any part of the Service without our prior written consent.

"SnapPhonics" is a trademark of SnapPhonics LLC. Nothing in these Terms grants you any right to use our trademarks.

8. Fees and Payment

Certain features of the Service may require a paid subscription. If you purchase a subscription, you agree to pay all fees described at the time of purchase. Fees are non-refundable except as required by applicable law or as otherwise stated at the time of purchase. We reserve the right to change our pricing with reasonable notice.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SNAPPHONICS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless SnapPhonics LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your use of the Service, (b) your User Content, or (c) your violation of these Terms.

12. Modifications to the Service and Terms

We reserve the right to modify or discontinue the Service, or any part of it, at any time with or without notice. We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Continued use of the Service after changes take effect constitutes your acceptance of the new Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction.

14. Termination

You may terminate your account at any time by contacting us. We may terminate or suspend your access to the Service at any time, for any reason, with or without notice. Upon termination, your right to use the Service ceases immediately.

15. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SnapPhonics LLC regarding the Service. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
